Trading Terms & Conditions
LEGAL INFORMATION, TERMS & CONDITIONS, AND PAYMENT POLICIES
1. DEFINITIONS
In these Terms and Conditions, “The Company” refers to Cornick Pty Ltd ABN 74 001 621 610, and “Customer” refers to any party placing an order for goods and/or services from The Company.
2. GENERAL TERMS
These Terms and Conditions apply to all sales of goods and services supplied by The Company. By placing an order, the Customer agrees to be bound by these Terms and Conditions. Any variation or cancellation must be confirmed in writing by The Company.
3. ORDER ACCEPTANCE AND PRICING
All quotations are non-binding and subject to written confirmation.
Prices are those in effect at the time of dispatch and are subject to change due to variations in labour, material, transport costs, and currency fluctuations.
Unless otherwise stated, prices are exclusive of GST, which (or any equivalent governmental charge) will be added to the invoice.
All sales are on a FOB ex-works basis unless otherwise specified.
4. CANCELLATION POLICY
Customer-Initiated Cancellations: A Customer may cancel an order provided that written notice is received by The Company at least 90 days prior to the scheduled delivery date. Cancellations will attract a fee as determined by The Company.
Special Order Items: No cancellations will be accepted for indented or specially ordered products.
Rescheduling: Requests to defer delivery must be submitted at least 45 days before the due date. Each item may be deferred only once, up to a maximum of 90 days from the originally requested date.
5. RETURNS AND REFUNDS POLICY
5.1 Return Process:
Returned goods must be in their original, unused condition, with all original packaging intact.
Returns must include the original Delivery Docket showing the invoice number, date of purchase, and reason for return.
5.2 Eligibility for Return and Refund:
Goods may be returned if they are defective, incorrectly supplied, or otherwise not in conformity with the order, as agreed by The Company.
Non-standard and specially ordered items are generally not eligible for return unless expressly stated.
5.3 Refund Process:
Once returned goods have been inspected and approved, refunds will be processed to the Customer’s original payment method within 14 business days.
The Company reserves the right to charge a restocking fee at its discretion.
5.4 Dispute of Refund Decisions:
If a Customer disputes a refund or return decision, they must notify The Company in writing within 14 days of the refund or notification of non-acceptance.
The Company will review and respond to such disputes within 30 days.
Unresolved disputes may be escalated to an independent dispute resolution service.
6. DISPUTE RESOLUTION FOR PAYMENTS AND CHARGES
6.1 Payment Disputes:
Any disputes regarding payments processed via Stripe, including charges and refunds, must be submitted in writing to The Company.
The Company will investigate and respond within 30 days.
6.2 Chargebacks:
In the event of a chargeback, the Customer must provide all necessary documentation supporting the charge.
The Company reserves the right to dispute any chargebacks and recover associated fees.
6.3 Escalation:
If the dispute cannot be resolved directly, both parties agree to submit the matter to mediation or arbitration in accordance with applicable laws.
7. PACKING AND DELIVERY
Standard packing is included in the quoted price unless stated otherwise.
Delivery is made from The Company’s premises where goods are in stock. If delivery beyond this point is requested, additional charges for transportation and insurance will apply.
8. TERMS OF PAYMENT
Payment is due as specified on the invoice.
Accepted payment methods include cash on delivery and electronic payments via Stripe.
The Company reserves the right to deliver and invoice in whole or in part. Failure to pay in accordance with these terms may be deemed evidence of insolvency.
9. CONDITIONS AND WARRANTIES
The Company’s products are warranted to conform to its specifications and be free from defects in materials and workmanship under normal use for the period specified for each product.
This warranty is limited to the repair or replacement (or cost thereof) of defective goods and does not cover damages resulting from misuse, alteration, or improper repair by third parties.
All implied warranties, including merchantability and fitness for a particular purpose, are excluded to the maximum extent permitted by law.
10. TITLE TO GOODS
Title to the goods remains with The Company until full payment is received.
Risk in the goods passes to the Customer upon delivery.
The Customer agrees to hold the goods as bailee for The Company, keeping them separate and properly labelled.
11. RISKS
Unless otherwise agreed in writing, risk in the goods transfers to the Customer upon delivery to the Customer, its agent, or a commissioned carrier.
12. PATENTS
To the best of The Company’s knowledge, the goods sold do not infringe any third-party patents, trademarks, registered designs, or copyrights.
The Company accepts no liability for any such infringement claims.
13. PERFORMANCE AND REPRESENTATION
All performance figures or estimates provided are based on tests and The Company’s experience.
The Company’s liability for deviations is limited to those cases where figures or estimates have been guaranteed in writing.
14. RECOVERY OF COSTS
The Customer will be responsible for all costs incurred by The Company (including legal fees) in recovering any amounts due under these Terms and Conditions.
15. FORCE MAJEURE
The Company shall not be liable for any delay or failure to perform due to circumstances beyond its reasonable control, including strikes, natural disasters, or other unforeseen events.
16. GOVERNING LAW
These Terms and Conditions are governed by the laws of the State of NSW, Australia.
Any disputes arising from these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of NSW.
By placing an order, the Customer acknowledges that they have read, understood, and agreed to these Terms and Conditions, including the detailed policies for cancellations, returns, refunds, and dispute resolution.
